NEWDEAL SHAREWARE LICENSE AGREEMENT

 THIS IS A LICENSE TO USE AND DISTRIBUTE THE SHAREWARE VERSION OF 
 NEW DEAL PUBLISH(TM) SOFTWARE. You may use a shareware copy of New 
 Deal Publish for a trial period of up to 30 days without obligation.
 If you wish to continue using New Deal Publish after that period, 
 you must purchase a registered copy.

 The New Deal Publish program is protected by U.S. copyright law 
 (Copyright 1990-1996 Geoworks and Copyright 1996 New Deal) 
 and International treaties, and by United States Patent number 
 5,327,529. New Deal Publish is not "free" or "public domain" 
 software. 

 A "shareware" copy of New Deal Publish is a copy distributed on 
 diskette or via an electronic bulletin board, on-line service, or 
 other electronic means, obtained from a shareware disk vendor, or 
 obtained from another individual, without any printed documentation, 
 other than what is contained on the disk. 

 A "registered" copy of New Deal Publish is a copy of New Deal Office 
 2.5 distributed by New Deal on diskette bearing the original New Deal 
 trademarks, accompanied by a printed bound manual. Registration 
 requires either (1) a written registration sent to New Deal, P.O.
 Box 965, Pointe-Claire, Quebec H9R 4R6, CANADA, ATTN: New Deal Publish 
 Offer along with the registration fee; or (2) a telephone registration 
 by calling 1-800-985-4263 and paying the registration fee by major 
 credit card. The registration fee is $79.95 (plus $8.95 for shipping 
 and handling, and applicable sales tax) in U.S. dollars.

 You may copy New Deal Publish for normal backup purposes, 
 and you may give shareware copies of New Deal Publish to other 
 individuals, which they may also use and copy subject to the 
 terms of this agreement. If you copy the shareware version of 
 New Deal Publish for others, you must include all of the files 
 distributed with it, including this text file.  

 You may not distribute New Deal Publish with any other product 
 or as an incentive to purchase any other product, without prior 
 written permission from New Deal. You may impose an administrative 
 charge of not more than $9.95 for copies of the shareware version 
 of New Deal Publish.

 Restrictions. The Software contains trade secrets in 
 its human perceivable form and, to protect them, you may 
 not REVERSE ENGINEER, DECOMPILE, DISASSEMBLE OR OTHERWISE 
 REDUCE THIS SOFTWARE TO ANY HUMAN PERCEIVABLE FORM. YOU MAY 
 NOT MODIFY, ADAPT, TRANSLATE, RENT LEASE, LOAN OR CREATE 
 DERIVATIVE WORKS BASED UPON THE SOFTWARE OR ANY PART THEREOF.

 Your right to distribute under this license is personal, and does 
 not include any right to (1) sublicense or otherwise cause any 
 copying or distribution of the software by anyone else without 
 the prior written consent of New Deal, or (2) rent or lease the 
 software, or (3) sell it as part of any hardware or software package.

 U.S. GOVERNMENT RESTRICTED RIGHTS: Use, duplication, or disclosure 
 by the Government is subject to restrictions as set forth in 
 subparagraph (c)(1)(ii) of the Rights in Technical Data and 
 Computer Software clause at DFARS 252.227-7013 or in Restricted 
 Rights at 48 CFAR 52.227-19, as applicable.

 EXPORT LAW ASSURANCES:  You agree that neither the Software 
 nor any direct product thereof is being or will be shipped, 
 transferred or re-exported, directly or indirectly, into any 
 country prohibited by the United States Export Administration 
 Act and the regulations thereunder or will be used for any 
 purposes prohibited by the Act.

 DISCLAIMER OF WARRANTIES:  This program is distributed in the 
 hope that it will be useful, but "AS IS," WITHOUT ANY WARRANTY; 
 without even the implied warranty of MERCHANTABILITY or FITNESS 
 FOR A PARTICULAR PURPOSE. New Deal does not warrant that the 
 software will meet your requirements, that operation of the 
 software will be uninterrupted or error-free, or that all 
 software errors will be corrected.

 Limitation of Remedies and Damages. In no event will New Deal, 
 its parent or subsidiaries or any licensors, directors, 
 officers, employees or affiliates of any of the foregoing be 
 liable to you for any consequential, incidental, indirect or 
 special damages whatsoever (including, without limitation, 
 damages for loss of business profits, business interruption, 
 loss of business information and the like), whether foreseeable 
 or unforeseeable, arising out of the use or inability to use the 
 Software or accompanying written materials, regardless of the basis 
 of the claim and even if New Deal or a New Deal representative has 
 been advised of the possibility of such damage. New Deal's 
 liability to you for direct damages for any cause whatsoever, 
 and regardless of the form of the action, will be limited to 
 the amount New Deal or its suppliers received from you for a
 license to the Software.

 THIS LIMITATION WILL NOT APPLY IN CASE OF PERSONAL INJURY ONLY 
 WHERE AND TO THE EXTENT THAT APPLICABLE LAWS REQUIRES SUCH LIABILITY. 
 BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF 
 LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION 
 MAY NOT APPLY TO YOU.

 GENERAL: If you acquired this product in the United States, 
 this Agreement will be governed by the laws of the Commonwealth 
 of Massachusetts, except for that body dealing with conflicts 
 of law. If you acquired this product in Canada, this Agreement 
 is governed by the laws of the Province of Quebec, Canada. Each 
 of the parties hereto irrevocably attorns to the jurisdiction 
 of the courts of the Province of Quebec. If this product was 
 acquired outside the United States or Canada, then local law 
 may apply. If any provision of this License shall be held by a 
 court of competent jurisdiction to be contrary to law, that 
 provision will be enforced to the maximum extent possible, and 
 the remaining provisions of this License will remain in full 
 force and effect.

 New Deal Publish and New Deal Office are trademarks of New Deal.

 This License may be terminated by New Deal by giving a 30-day 
 written notice.
